Microsoft is facing growing competition from OpenAI and is renegotiating the terms of their joint contract to gain freedom for independent investments in AI startups and strengthen its market position.

Negotiations around the deal

Initially, the contract between Microsoft and OpenAI contained strict restrictions that prevented both companies from choosing alternative partners and pursuing independent development strategies. But the market situation changed rapidly: OpenAI developed independently, releasing powerful models, and began moving into territories that previously seemed exclusive to Microsoft. This created serious tension in the relationship. Now Redmond is ready to renegotiate the terms — and this is a serious signal that the strategic alliance is beginning to crack.

Renegotiating the contract gives Microsoft significantly greater room for maneuver. The company can now invest in other AI developers without fear of violating the deal conditions with OpenAI. This does not mean a break with the partner — the Azure cloud platform will continue to integrate OpenAI models, and cooperation on scientific projects will continue. But it does mean that Microsoft is no longer putting all its eggs in one basket and is ready to create backup platforms.

The startup hunt has begun

Microsoft is already actively looking for new players in the artificial intelligence market. The company is seeking startups that could complement its own developments or offer alternative approaches to training and optimizing models. Potential candidates could be quite diverse:

  • Companies with innovative neural network architectures and new approaches to training
  • Startups specializing in training models on highly specialized and corporate data
  • Research teams and laboratories not yet locked into exclusive deals with competitors
  • Developers of tools for optimizing and accelerating AI processes in production
  • Teams working on alternative approaches to fine-tuning and model adaptation

The acquisitions themselves will come in waves. Some startups will be acquired for talent and intellectual property, others — for rapidly expanding functionality within Azure and Microsoft Copilot. Microsoft wants not just to buy code, but to embed the best engineers into its engineering machine and acquire technological assets that will provide an advantage in the long-term race.

Why this needs to be done urgently

At stake is the position of leader in the artificial intelligence market. OpenAI has released the o1 model with extended reasoning, is working on even more powerful models, and its influence on the market is growing every month. Google, Meta, Amazon — all major players are accelerating their investments. Microsoft cannot simply hope that OpenAI will develop in directions beneficial exclusively to Microsoft. The longer the company remains dependent on a partner that is simultaneously a competitor, the higher the risk of falling behind at a critical moment in market development.

Competition in AI is not a static picture, but a race where everyone must run faster than yesterday.

Microsoft cannot afford to stand still.

What this means for the market

Microsoft is soberly assessing reality: OpenAI — is no longer just a partner in the full sense of the word, but a player whose interests are beginning to diverge significantly from those of Microsoft itself. Renegotiating the deal and actively hunting startups — is not a threat to break the alliance, but a reasonable defense against potential conflicts of interest and loss of control over development directions.

For the entire AI ecosystem, this means that money and investments will be distributed faster, and there will be more competition on the market between different approaches to model development and optimization. This creates excellent opportunities for innovative startups that will get a chance to attract the attention of major corporations, but complicates things for those who hoped for a stable picture with clearly defined leaders and partnership alliances.
